【CSF News】| Mr. Jian GAO and Mr. Anthony Neoh Elected Co-Chairmen of the Board of CSF by Unanimous Vote. The CSF Executive Bodies, including the Board and the Member Committees, have been Successfully Formed.

From February 4th to February 10th, 2016, the Executive Committee and the Secretariat of CSF organized an election for the first group of directors of the Board and co-chairmen of Member Committees, and based on the election result, held a subsequent election for the co-chairmen of the Board, and completed the formation of the first Board. The newly formed Board and the Executive Committee made decisions on certain positions in the Standing Committees after thorough discussions.‍‍‍‍‍‍

According to the Articles of Association, the election of directors can be held concurrently with the election of chairmen and co-chairmen of Member Committees. On the basis of nominations received from CSF’s Institutional Members prior to January 31, 2016, after careful considerations, the Nominating Committee selected the first group of candidates for Board directors and for co-chairmen of Member Committees, and the representatives appointed by the Institutional Members then elected the first group of Board directors and co-chairmen of Member Committees through a democratic process.

The newly elected directors then proceeded to elect co-chairmen of the Board, in accordance with the Articles of Association, and Mr. Jian GAO and Mr. Anthony Neoh were elected by a unanimous vote. In accordance with the Articles of Association, the Meeting of Founding Members had previously elected Mr. Borong LIU as Chairman of the Executive Committee, so he will also serve as vice-chairman of the Board – a position which, in accordance with the Articles of Association, is to be held by the chairman of the Executive Committee.

According to the Articles of Association, all members of the Executive Committee and three additional special monitors (each of whom was a delegated representative from an Institutional Member which is not represented on the Board) supervised the election process. The monitors were Professor Yong WANG (doctoral thesis supervisor of China University of Political Science and Law, the lead monitor), Professor Fang WANG (Beijing National Accounting Institute) and Dr. Yang PANG (China Securitization Analytics).

According to the Articles of Association, the terms for the directors of the Board, Co-Chairmen and Vice Chairman of the Board, members of the Executive Committee, the Secretariat, the Standing Committees and the Member Committees are governed by the following rules:

  • The term of a director is approximately two years, and each director can serve two consecutive terms, if elected.  After serving two consecutive full terms, a director must wait one year before qualifying for re-nomination to the Board by the Nominating Committee;
  • Members of the Executive Committee will each serve a two-year term, and may serve consecutive terms, if re-elected;
  • Co-chairman of the Board and vice co-chairman of the Board may serve consecutive terms, if re-elected;

 

  • The Secretary General will serve a two-year term, and may serve consecutive terms, if re-elected;

 

  • The chairmen and the co-chairmen of the Standing Committees will each serve a two-year term, and may serve consecutive terms, if re-elected;

 

  • The chairmen and the co-chairmen of the Member Committees will each serve a one-year term, and may serve consecutive terms, if re-elected.

In response to inquiries, during the March, 2015 CSF Annual Conference, certain Chinese regulatory agencies and market associations directed a number of inquiries to the US based Structured Finance Industry Group (SFIG).  In response, SFIG is preparing a US Securitization Whitepaper, which SFIG leaders will present to CSF during the CSF 2016 Annual Conference, to be held in the China National Convention Center in Beijing, from April 7th to 9th 2016.  During the course of the past year, China became the second largest securitization issuer in the world.  CSF will send a delegation to participate in the ABS Vegas 2016 conference, from February 28th to March 2nd, to discuss the implementation of CSF’s strategic partnership with SFIG, and to invite overseas securitization experts to provide technical advice for the development of securitization in China.
